This End User Licence Agreement (“Agreement”) is between you and UnityPulse, Nigeria (“we”, “us”). It covers the TScribe applications for the web, Android and iOS, and the UnityPulse Dictation browser extension for Chrome, Edge and Firefox (together, “the Software”). By installing or using the Software you accept this Agreement, together with the Terms of Service and Privacy Policy.
1. Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on devices you own or control, for lawful professional healthcare documentation, in accordance with this Agreement.
2. What you may not do
- Copy, modify, distribute, sell, rent or sublicense the Software
- Reverse-engineer, decompile or disassemble the Software, except where the law expressly allows it
- Remove or alter any proprietary notice
- Use the Software to build a competing product, or to extract the template library for use outside TScribe
- Use the Software on behalf of anyone other than yourself or the organisation that administers your account
- Circumvent credit metering, device approval, two-factor authentication or any other security measure
3. Your content
You own the clinical content you create with the Software and the templates you write. We claim no rights over them. Reports and recordings are not retained on our servers; see the Privacy Policy.
4. Updates
The Software may download and install updates automatically. Updates may add, change or remove features. This Agreement applies to all updates unless a new agreement accompanies them. Older versions may stop working when the services they rely on change.
5. App stores and browser stores
Where you obtained the Software from Google Play, the Apple App Store, or a browser extension store, the store's own terms also apply. The store operator is not a party to this Agreement and has no obligation to provide support for the Software. You acknowledge that the store operator is a third-party beneficiary of this Agreement and may enforce it against you.
6. The browser extension
The UnityPulse Dictation extension acts only on the page and field you direct it to, when you ask it to. It reads nothing from a page until you press record or choose Dictate with UnityPulse. Drafts it keeps are stored in your browser. The extension privacy notice describes exactly what it does.
7. Clinical use
The Software is a productivity aid, not a medical device. It does not make clinical decisions. Every report it produces must be reviewed and signed by a qualified clinician before clinical use.
8. Disclaimer and liability
The Software is provided “as is”, without warranty of any kind. To the fullest extent permitted by law, we are not liable for any loss arising from use of the Software, including clinical outcomes arising from reliance on AI-generated drafts without appropriate professional review. Our aggregate liability is limited as set out in the Terms of Service.
9. Termination
This Agreement is effective until terminated. It terminates automatically if you breach it, and when you uninstall the Software or close your account. On termination you must stop using the Software and delete all copies. Sections 3, 7, 8 and 10 survive termination.
10. Governing law
This Agreement is governed by the laws of the Federal Republic of Nigeria.
